1. Purpose
These terms and conditions define the rules applicable to IT services provided by VenturAlp, including diagnostics, repair, maintenance, remote support, hardware and software installation, network configuration, cybersecurity, data recovery and IT consulting.
2. Scope of application
Any request for intervention, diagnostics, repair, configuration or consulting implies acceptance of these terms, unless otherwise agreed in writing between VenturAlp and the client. These terms apply to private clients, freelancers, small businesses and professional organisations.
3. Nature of services
Services may be carried out on site, remotely or in workshop depending on the nature of the issue, technical constraints, client availability and the security conditions required. VenturAlp undertakes to act with care, professionalism and transparency.
4. Technical diagnostics
Diagnostics may be required before any intervention. They help identify the probable cause of the issue, possible solutions, technical limits and any risks related to the intervention. Diagnostics do not always guarantee full resolution, particularly when hardware is severely defective or data is damaged.
5. Quote and approval
Whenever possible, costs, deadlines and limits of the intervention are communicated to the client before work begins. Any additional service or significant change to the initial scope requires the client’s approval. The intervention begins after explicit or implicit approval depending on the context of the request.
6. Rates and invoicing
Services are invoiced according to the rates published on the website, an accepted quote or a specific agreement. Travel costs, emergency supplements, interventions outside normal hours or special services may be subject to specific rates communicated to the client.
7. Payment
Invoices are payable within the period indicated on the invoice or according to the agreed terms. In case of late payment, VenturAlp reserves the right to suspend ongoing or future services until the amounts due have been paid.
8. On-site interventions
The client undertakes to provide reasonable access to equipment, premises, networks, user accounts and information necessary for the intervention. The client must also report any technical constraint, specific security requirement or important information before work begins.
9. Remote support
For remote interventions, the client authorises VenturAlp to temporarily access the equipment using a secure tool. The client remains free to interrupt the session at any time. VenturAlp accesses only the elements necessary for the requested service and treats all information with confidentiality.
10. Workshop services
When equipment is entrusted to VenturAlp for workshop intervention, the client remains the owner of the equipment. VenturAlp takes reasonable precautions to keep it in good condition but cannot be held liable for pre-existing defects, evolving failures or deterioration independent of its intervention.
11. Hardware, parts and accessories
Parts, components, accessories or equipment required for an intervention may be provided by the client or proposed by VenturAlp. When VenturAlp supplies hardware, the manufacturer’s or supplier’s warranty terms apply unless otherwise stated.
12. Software, accounts and licences
The client guarantees that they hold the necessary rights, licences, activation keys, credentials and authorisations for the software, systems, accounts and services used. VenturAlp does not knowingly install unauthorised, pirated or non-compliant software.
13. Backups and data
The client remains responsible for backing up their data. Before any sensitive operation, a recent and usable backup is recommended. VenturAlp may assist with backup solutions but cannot guarantee the total absence of data loss during a technical intervention.
14. Data recovery
Data recovery services are performed according to best possible practices considering the condition of the storage medium. No full or partial recovery can be guaranteed. Recovery chances depend on the type of medium, the nature of the failure, previous manipulations and the physical or logical state of the data.
15. Confidentiality
VenturAlp treats with discretion all information, documents, files, accesses, configurations, professional or personal data brought to its knowledge during its services. This confidentiality obligation remains applicable after the intervention has ended.
16. IT security
IT security services aim to improve the protection of the client’s systems, networks, accounts or data. No solution can guarantee absolute security. The client remains responsible for the use of their equipment, passwords, backups and good practices after the intervention.
17. Service warranty
VenturAlp undertakes to provide its services with care and competence. Any warranty applies only to the service performed or parts replaced where expressly provided. It does not cover damage caused by misuse, third-party intervention, pre-existing defects or developments independent of the initial issue.
18. Limitation of liability
To the extent permitted by applicable law, VenturAlp cannot be held liable for indirect losses, business losses, loss of income, data loss, service interruptions or consequential damages. VenturAlp’s liability is limited to proven direct damages resulting from a fault attributable to it.
19. Force majeure
VenturAlp cannot be held liable for delay or impossibility of performance resulting from events beyond its control, including general outage, network incident, power cut, supplier unavailability, natural event, illness, accident or any other force majeure circumstance.
20. Data protection
The processing of personal data is described in the Privacy Policy published on the website. VenturAlp processes personal data in accordance with applicable Swiss law and only as necessary for client relations, request management, service delivery and communication.
21. Changes to these terms
VenturAlp reserves the right to amend these terms and conditions in order to adapt them to changes in its services, organisation or legal requirements. The version published on the website at the time of the request shall prevail unless otherwise agreed in writing.
22. Applicable law
These terms and conditions are governed by Swiss law, subject to mandatory legal provisions.
23. Jurisdiction
The place of jurisdiction is located in the Canton of Neuchâtel, subject to mandatory jurisdictions provided by law.
